THE WEBSITE AND ALL SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, MOD PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

6.2 No Guarantee of Accuracy

We do not warrant the accuracy, completeness, or reliability of any content, information, or material available on or through the Website, including nutritional information, allergen data, menu descriptions, or pricing information.

6.3 Food Allergen Disclaimer

While we make reasonable efforts to provide accurate allergen and nutritional information, our food products are prepared in facilities that may handle common allergens including, but not limited to, wheat, dairy, eggs, nuts, soy, and shellfish. We cannot guarantee that any item is completely free from allergens or cross-contamination. Individuals with severe food allergies should exercise caution and contact us directly before ordering.

6.4 Third-Party Services

We do not endorse, control, or assume any responsibility for the content, products, or services of any third-party websites. Your interactions with third-party services are governed by their respective terms and privacy policies, and we encourage you to review them carefully.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, INCLUDING THE LAWS OF THE UNITED STATES AND THE APPLICABLE STATE OF OPERATION, MOD PIZZA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, SERVICE PROVIDERS, AND SUCCESSORS SHALL NOT BE LIABLE FOR:

  • ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR BUSINESS INTERRUPTION;
  • ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES;
  • ANY DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR PERSONAL DATA;
  • ANY DAMAGE TO YOUR COMPUTER SYSTEM, MOBILE DEVICE, OR DATA RESULTING FROM YOUR ACCESS TO OR USE OF THE WEBSITE;
  • ANY CONTENT OBTAINED FROM THIRD-PARTY WEBSITES ACCESSED THROUGH LINKS ON OUR WEBSITE.

IN NO EVENT SHALL MOD PIZZA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF (A) ONE HUNDRED UNITED STATES DOLLARS ($100.00) OR (B) THE TOTAL AMOUNT PAID BY YOU TO MOD PIZZA IN THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF YOU RESIDE IN SUCH A JURISDICTION, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

8. Indemnification

You agree to defend, indemnify, and hold harmless Mod Pizza and its respective officers, directors, employees, contractors, agents, licensors, service providers, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorney's fees and court costs) arising out of or related to:

  • Your access to or use of the Website or Services;
  • Your violation of any provision of these Terms;
  • Your violation of any applicable federal, state, or local law or regulation;
  • Your infringement or misappropriation of any intellectual property or proprietary rights of any third party;
  • Any User Content you submit, post, transmit, or otherwise make available through the Website;
  • Any fraudulent, abusive, or illegal activity conducted by you or through your account;
  • Any negligence or willful misconduct on your part.

We reserve the right, at our own expense, to assume exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

9. Governing Law and Jurisdiction

These Terms of Service and any dispute or claim arising out of or related to them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United States of America and the applicable laws of the state in which Mod Pizza operates, without regard to any conflict of law principles that would cause the laws of another jurisdiction to apply.

To the extent that any dispute is not subject to arbitration as set forth in Section 10, you consent to the exclusive personal jurisdiction and venue of the federal and state courts located in the United States for the resolution of any disputes arising out of or relating to these Terms or the Services. You waive any objection to the exercise of jurisdiction over you by such courts and to the laying of venue in such courts.

These Terms comply with all applicable federal consumer protection laws, including the Federal Trade Commission Act (15 U.S.C. § 45), the Electronic Signatures in Global and National Commerce Act (E-SIGN Act), and all other applicable federal and state laws governing electronic commerce and consumer transactions in the United States.

10. Dispute Resolution

10.1 Informal Resolution

Before initiating any formal legal proceedings, you agree to attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms or the Services informally by contacting us at [email protected]. You and Mod Pizza agree to negotiate in good faith to resolve the dispute for a period of no less than thirty (30) days following receipt of written notice. If the dispute is not resolved within this period, either party may pursue formal dispute resolution as described below.

10.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Except for disputes that qualify for small claims court and except as otherwise provided in these Terms, you and Mod Pizza agree that any and all disputes, claims, or controversies arising out of or relating to these Terms, the Website, or the Services shall be resolved exclusively through final and binding arbitration, rather than in court. Arbitration shall be conducted by a recognized arbitration provider such as the American Arbitration Association (AAA) in accordance with its Consumer Arbitration Rules then in effect. The arbitration shall take place in the United States and shall be conducted in English.

10.3 Class Action Waiver

YOU AND MOD PIZZA AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING. Unless both you and Mod Pizza agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a representative or class proceeding.

10.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may bring an individual action in small claims court. Either party may also seek emergency injunctive or other equitable relief from a court of competent jurisdiction to protect intellectual property rights or prevent irreparable harm, pending the outcome of arbitration.

11. Term and Termination

11.1 Term

These Terms shall remain in full force and effect for as long as you continue to access or use the Website or Services. These Terms became effective as of the date you first accessed or used the Website.

11.2 Termination by You

You may terminate your use of the Services and close your account at any time by ceasing to use the Website and notifying us of your request to close your account at [email protected]. Termination of your account will not affect any obligations or liabilities that arose prior to such termination.

11.3 Termination by Mod Pizza

We reserve the right, in our sole discretion and without prior notice, to suspend, limit, or permanently terminate your access to the Website or Services at any time for any reason, including but not limited to:

  • Violation of any provision of these Terms;
  • Suspected fraudulent, abusive, or illegal activity;
  • Conduct that we believe is harmful to other users, third parties, or our business interests;
  • Failure to pay any amounts owed;
  • Regulatory, legal, or operational requirements.

11.4 Effect of Termination

Upon termination of your account or access to Services, all licenses and rights granted to you under these Terms shall immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 4 (Intellectual Property), 6 (Disclaimers), 7 (Limitation of Liability), 8 (Indemnification), 9 (Governing Law), 10 (Dispute Resolution), and 14 (Severability).

12. Changes to Terms

We reserve the right to modify, update, or revise these Terms at any time in our sole discretion. When we make material changes to these Terms, we will provide notice by one or more of the following methods:

  • Posting the updated Terms on the Website with a revised "Last Updated" date;
  • Sending an email notification to the address associated with your account;
  • Displaying a prominent notice on our Website homepage or checkout pages.

Changes to these Terms will become effective immediately upon posting unless otherwise stated. Your continued access to or use of the Website or Services after the effective date of any revised Terms constitutes your binding acceptance of such changes. If you do not agree with the revised Terms, you must immediately discontinue your use of the Website and Services and notify us of your intent to close your account.

We encourage you to review these Terms periodically to stay informed of any changes. It is your responsibility to check this page regularly for updates.

13. Additional Legal Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices or policies published on the Website, constitute the entire agreement between you and Mod Pizza with respect to your use of the Website and Services and supersede all prior or contemporaneous communications, representations, proposals, or agreements, whether oral or written, relating to the subject matter hereof.

13.2 Waiver

No waiver by Mod Pizza of any right or provision under these Terms shall constitute a continuing waiver of such right or provision or a waiver of any other right or provision. Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.3 Assignment

You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may freely assign our rights and obligations under these Terms without restriction, including in connection with a merger, acquisition, corporate restructuring, or sale of assets. These Terms will be binding upon and inure to the benefit of the permitted assigns and successors of the parties.

13.4 Force Majeure

Mod Pizza shall not be liable for any failure or delay in performance of its obligations under these Terms to the extent such failure or delay is caused by circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, labor strikes, government orders, or failures of telecommunications or internet infrastructure.

13.5 Electronic Communications

By using our Website and Services, you consent to receive electronic communications from Mod Pizza, including notices, agreements, disclosures, and other information. You agree that all such electronic communications satisfy any legal requirement that such communications be in writing, to the extent permitted by applicable law, including the E-SIGN Act (15 U.S.C. § 7001 et seq.).

14. Severability

If any provision of these Terms is held by a court of competent jurisdiction or arbitrator to be invalid, illegal, unenforceable, or in conflict with any applicable law, such provision shall be modified to the minimum extent necessary to make it enforceable, or if it cannot be so modified, it shall be deemed severed from these Terms. The invalidity or unenforceability of any such provision shall not affect the validity, legality, or enforceability of the remaining provisions of these Terms, which shall continue in full force and effect as if such invalid or unenforceable provision had never been included.

The parties agree that any court or arbitrator giving effect to this severability clause shall, to the greatest extent possible, interpret the remaining provisions in a manner that gives effect to the original intent of the parties as expressed in these Terms.
